Role Introduction
The Legal Counsel – Corporate and Regulatory sits under the Group Legal and Compliance Department, is responsible for providing high quality legal services to the Cathay Group and is mandated to provide legal services in the most efficient and cost-effective manner. The Group Legal and Compliance is seeking a high calibre lawyer to join its corporate and regulatory practice. You will be responsible for providing legal and regulatory support across Cathay Group; and working in a challenging and dynamic business environment across multiple jurisdictions and industries. Key Responsibilities
- Partner with business units as a trusted adviser, developing a sound understanding of corporate objectives and providing pragmatic, solutions‑oriented legal guidance, while maintaining appropriate escalation of material risks
- Assist with listed company compliance and disclosure‑related matters, including assessment of disclosure obligations, preparation and review of announcements and circulars, and support for notifiable and connected transaction processes, in accordance with internal policies and procedures. Support due corporate processes, compliance and records, working closely with company secretary teams and relevant stakeholders
- Support corporate and financing matters, including mergers and acquisitions, joint ventures, investments, financing and group restructurings, including drafting and negotiation of transaction documentation, coordination of signing and closing deliverables, and post‑completion actions
- Provide support across a broad range of regulatory and compliance matters affecting Cathay Group, including policy development and implementation, internal guidance and training, and assistance with regulator or stakeholder enquiries, as required
- Drive assigned workstreams within legal and compliance projects, including regulatory change initiatives, policy refreshes and process improvement efforts, maintaining clear plans, timelines, trackers and status reporting
- Support matter management and legal operations, including instructing and coordinating with external counsel, supporting management of legal spend (budgets, billings and accruals), maintaining matter trackers and preparing periodic reporting and analytics
- Contribute to knowledge management by maintaining and improving precedents, playbooks, templates and guidance materials, and supporting continuous improvement of legal and compliance workflows
- Support other corporate, regulatory and compliance matters and ad hoc projects as required
Requirements
- A minimum of 3 years of post-qualification experience as a qualified lawyer in Hong Kong or other common law jurisdiction, with at least 2 years’ solid work experience specialising in corporate, regulatory or other related practice in multinational organisations or reputable law firms. Experience supporting corporate transactions and a solid understanding of listing regulations, guidance and continuing obligations are preferred
- Strong analytical skills, exercises independent thinking with sound judgement and keen attention to detail, as well as the ability to take ownership and manage multiple matters, prioritise effectively under time pressure and escalate issues appropriately
- Ability to independently support project and matter management, including coordination of external counsel, legal budgets, billings and accruals, and maintenance of trackers and reporting
- Demonstrates integrity and professionalism, works proactively and constructively as a team player, communicates clearly and effectively with an open mind for continuous improvement in a dynamic environment
- Excellent written and spoken English and Chinese (Cantonese). Putonghua is an advantage
- Proficient in standard office applications
