We are actively seeking a highly skilled and motivated Legal Counsel to become an integral part of our Corporate Legal team based in Malta. This unique and exciting opportunity presents a chance to be part of the legal backbone of one of Europe's most valuable and rapidly expanding companies.
Your Responsibilities
Reporting to the Corporate Legal Director, you will play a crucial role in shaping and supporting the legal framework that underpins our organization's operations, contributing to the continued success and growth of our dynamic enterprise. Your responsibilities will include:
- Prepare, review, and negotiate various contracts, including employment contracts, procurement & operational agreements, NDAs, and any other required contracts.
- Draft policy documents and proposals, as well as reviewing and amending of existing policies with a view to improving their effects.
- Give general legal advice and support to the business in various areas, including, commercial, aviation, and employment, amongst others.
- Conduct negotiations with third parties, such as vendors, and engage with local regulators, including for annual renewals.
- Assist in cross-departmental projects with legal and business stakeholders, from scoping to implementation.
- Participate in preparation for and work with the finance department and external auditors.
- Stay informed on the industry developments across the globe, most particularly within the EU/EEA regions, that are of interest and/or likely to affect the company's operations.
- Respond to public and private KYC and other due diligence requests and assist with management of company’s contract database;
- Support the Corporate legal team and the company secretary of the Maltese entities with corporate matters which include helping to oversee the corporate legal affairs for select entities in multiple jurisdictions. This will also include arranging board and shareholder meetings, preparing agenda, taking minutes, and drafting resolutions, assisting with mergers and acquisitions, liquidations and supporting major financial initiatives, including the industry's largest unsecured bond and financing of the group’s multi-billion-dollar fleet;
- Assist the wider Vista legal team, including our US-based colleagues, with projects touching on a variety of legal and business matters.
Required Skills, Qualifications, and Experience
- Qualified lawyer, preferably with a warrant to practice in Malta.
- 3-5 years professional experience practising as a lawyer, familiarity with employment law is a plus, but not a necessity.
- Experience working with US teams and US-registered entities is a strong plus.
- Demonstrated the ability to drive projects and manage outcomes with meticulous attention to detail, ensuring accuracy and precision in legal documents and advice.
- Excellent written and verbal communication skills, with the ability to convey complex legal concepts to non-legal professionals effectively.
- Strong analytical skills with high ethical standards and professional integrity to deal with sensitive and confidential information and dependability with a strong sense of urgency.
