Job Description:
As a member of the CSD team, the Director, Corporate Development plays an integral and leading role in shaping the strategic direction of the company, with a strong focus on supporting strategic growth initiatives. The position will support the development and implementation of the portfolio management framework, end-to-end acquisition and divestiture transaction execution, venture investing, and the establishment of strategic partnerships. The role will provide problem-solving support, conduct analysis and research, develop recommendations, and communicate well-articulated conclusions.
Essential Functions:
- Partner with the business and strategy teams to track and identify potential acquisition targets and transactions or partnerships, which are aligned with L3Harris’ strategic priorities. Help review and pressure test the acquisition thesis or partnership’s strategic rationale
- Lead the initial acquisition process, including confidentiality agreements, initial due diligence, preliminary financial modeling, transaction valuation and term sheet preparation
- Lead the execution phase of the acquisition or divestiture process by working closely with the business segment, legal team, external advisors and functional due diligence leads from across the company. Responsibilities will include due diligence coordination, synergy, financial modeling and valuation analyses, transaction structuring, legal document reviews and negotiation, integration planning support and managing the internal approval process
- Address post-closing activities, including post-close adjustment determination, escrow releases, dispute resolution and rep and warranty insurance expiration dates, among other items
- Partner with business segment, sector and division leadership to support integration and separation activities
- Build exceptional relationships across the business segments and functional teams
- Advise business executives on the financial implications and risks related to key transaction issues and important strategic M&A decisions
- Maintain a keen awareness and acumen around Aerospace & Defense industry trends, competitors, disruptive technologies and M&A transactions
- Engage with investment bankers on inbound acquisition opportunities and to exchange M&A ideas as well as solicit information and perspectives on companies and business areas of interest
- In addition, assist with managing various minority equity investments, including existing as well as new investments
- Travel up to 20%
Qualifications:
- Bachelor's Degree in business/finance/accounting, economics, analytics, engineering or other related quantitative field with 10 years prior experience, Graduate Degree with 8 years prior experience. In lieu of a degree, minimum of 19 years of prior related experience in corporate development
- 8 years’ experience in corporate development, investment banking, advisory services, venture capital, private equity or management consulting
Preferred Additional Skills:
- MBA or Legal degree preferred
- Aerospace and Defense industry experience
- Excellent written, verbal, presentation and interpersonal communication skills
- Very strong (well above average) MS-Excel and MS-PowerPoint skills
- Results-oriented, takes the initiative mentality
- Demonstrates a highly analytical work ethic/approach
- A fast learner with the ability to take initial direction and self-manage to complete assignments on time and to expectations

In compliance with pay transparency requirements, the salary range for this role in Colorado, Hawaii, Illinois, Maryland, Minnesota, Vermont, Washington State and New York State is $140,000 - $260,000. For California, Seattle, Washington D.C., Maryland Greater Washington D.C. area and New York City, the salary range for this role is $160,500 - $298,500. This is not a guarantee of compensation or salary, as final offer amount may vary based on factors including but not limited to experience and geographic location.
