POSITION OVERVIEW
The Corporate Finance Lawyer will be based at Zurich headquarters and will be a key contributor to the group’s global legal and finance/treasury team, primarily serving as a business partner for corporate and finance transactions at global and regional level. Reporting to the Group Sr Corporate & Finance Lawyer, the Corporate & Finance Lawyer will be responsible for a wide variety of matters, including negotiating and drafting complex corporate finance and other similar agreements or transactions, managing and coordinating corporate approvals, managing KYCs, ensuring compliance with applicable laws and regulations, and providing legal advice to the business teams at global level.
JOB RESPONSIBILITIES
Work on global corporate finance projects, and other similar complex legal matters such as refinancing, intercompany loan agreements, securitization, cash pooling, local facilities, guarantees, support letters, hedging, etc.
· Provide legal support to business and finance colleagues regarding global corporate matters, KYC and compliance
· Draft and/or review corporate approvals
· Draft and review bank and parent company guarantees as well as other similar type of agreement
· Monitor corporate finance projects
· Assist regional teams in relation to corporate finance operations
· Liaise with and instruct external legal counsels
· Work on commercial matters and M&A transactions as may be assigned from time to time
· Manage external legal costs
· Advise on ad hoc complex legal matters and projects as may be assigned from time to time
QUALIFICATIONS & SKILLS
Degree and licensed to practice law in Europe
· Minimum of 3-5 years PQE experience gained in international companies and/or top tier law firm
· Strong business acumen with a demonstrated ability to partner with executive leadership teams
· Significant experience with corporate matters, finance transactions, KYC, compliance, and managing regional outside counsel
· Experience working with a global company on cross-border matters
· A proven team player with the ability to build consensus with diverse stakeholders and third parties and form strong, collaborative working relationships with internal clients
· A problem solver, a creative thinker, and a facilitator, who is comfortable in front of customers, suppliers, peers, and senior management
· A self-starter with the ability to manage a significant number of projects simultaneously and to thrive in a dynamic and fast-paced environment while always maintaining the highest level of integrity
